On October 30, 2017, the Company issued a press release announcing its financial results for the third quarter ended September 30, 2017. A copy of the press release is attached hereto as Exhibit 99.1. Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers On October 27, 2017, the Company was notified by Mr. Donald R. Spuehler of his intention to retire from the Board of Directors of the Company effective at the end of 2017. Mr. Spuehler has been a director of the Company since 1985 and currently serves as a member of the Audit Committee, the Compensation Committee, and the Nominating/Corporate Governance Committee of the Board of Directors. The Board of Directors expresses its appreciation to Mr. Spuehler for his more than 30 years of Board and Committee service on behalf of the Company. Mr. Spuehler had no disagreements with the Company, its Board of Directors or its management in any matter relating to the Company’s operations, policies or practices. Item 9.01.
