Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 15, 2022, Ms. Kathleen M. Gutmann, a director of Brown-Forman Corporation (the “Company”) since 2017, notified the Company of her decision to retire from service on the Company’s Board of Directors (the “Board”), effective immediately. Ms. Gutmann made this decision in order to focus on her expanded responsibilities as the newly-appointed Executive Vice President and President International, Healthcare and Supply Chain Solutions of United Parcel Service, Inc. Her decision was not due to a disagreement with the Company on any matter relating to the Company's operations, policies or practices.
