Unregistered Sales of Equity Securities.   The information set forth under Item 5.02 of this Current Report on Form 8-K is incorporated by reference into this Item 3.02.   Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.   On April 16, 2026, the Compensation Committee of the Board of Directors of Forward Industries, Inc. (the “Company”) approved grants of equity to Mark Brazier, the Company’s recently appointed Chief Financial Officer. Each award is subject to Mr. Brazier’s continued service with the Company through the applicable vesting date (the “Continued Service Condition”). The grants are described below:   • Non-qualified stock options to purchase an aggregate of 275,000 shares of the Company’s common stock, comprised of (i) 137,500 options with an exercise price of $9.18 per share and (ii) 137,500 options with an exercise price of $13.77 per share, each with a term of 10 years from the date of grant.
