(the “Company”) filed with the U.S. Securities and Exchange Commission on May 9, 2023 (the “Original Form 8-K”). The Original Form 8-K reported the final voting results of the Company’s 2023 annual meeting of stockholders held on May 3, 2023 (the “2023 Annual Meeting”). The sole purpose of this Amendment is to disclose, in accordance with Item 5.07(d) of Form 8-K, the Company’s decision as to how frequently the Company will include a stockholder advisory vote on the compensation of its named executive officers. No other changes have been made to the Original Form 8-K. Item 5.07    Submission of Matters to a Vote of Security Holders   As previously reported by the Company, the Company held the Annual Meeting in person on May 3, 2023 (the “Annual Meeting”). At the Annual Meeting, the Company’s stockholders voted on, among other matters, a proposal regarding the frequency of future advisory votes on the compensation of the Company’s named executive officers. The highest number of votes was cast in favor of holding an advisory vote on the compensation of the Company’s named executive officers every year. The Company’s board of directors determined that the Company shall conduct an advisory vote on the compensation of the Company’s named executed officers every year, consistent with the board of director’s initial recommendation.
