(the “Company”) filed with the Securities and Exchange Commission on April 28, 2016, regarding the election of Robert J. Bishop and James M. Kilts to the Board of Directors (the “Board”) of the Company, to include the Board committee assignments for Messrs. Bishop and Kilts, which had not been determined at the time of filing the Original 8-K. Item 5.02 . Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. (d) On July 20, 2016, the Board appointed Mr. Bishop as a member of the Audit Committee of the Board and Mr. Kilts as a member of the Compensation Committee and the Corporate Governance and Nominating Committee of the Board, each effective as of that date.
