On
April 14, 2021, Mario Longhi, a member of the Board of Directors (the “Board”) of ITT Inc. (the “Company”), informed
the Company that he was resigning from the Board effective immediately in order to pursue other professional opportunities. Mr. Longhi’s
resignation from the Board is not due to any disagreement with the Company on any matter relating to the Company’s operations,
policies or practices. The Company and the Board appreciate Mr. Longhi’s service to the Company and thank him for the contributions
he has provided as a member of the Board.
