Item 8.01 Other Events.
Mr. John Pearl died on January 29, 2024. Mr. Pearl had been a director
of J. W. Mays, Inc. since 2016 and served on the Audit Committee, the Investment Advisory Committee, the Compensation Committee and the
Governance and Nominating Committee of the Board of Directors. He will be deeply missed by his family, friends, and colleagues.
