Appointment of Certain Officers; Compensation Arrangements of Certain Officers.
(b) On October 3, 2023, Mr. Mark Greenblatt tendered his resignation
as Executive Vice President and Chief Financial Officer of the Company, effective December 31, 2023. Mr. Greenblatt has worked for
the Company for more than 50 years. He intends to continue to serve as a Director and to serve on the Committees of the Board of
Directors on which he presently serves.
The Company intends to announce Mr. Greenblatt’s successor as Chief
Financial Officer prior to December 31, 2023.
