On August 3, 2023, Xcel Energy Inc., a Minnesota corporation (“Xcel Energy”), issued $800,000,000 in aggregate principal amount of 5.45% Senior Notes, Series due August 15, 2033 pursuant to an Underwriting Agreement, dated July 31, 2023, by and among Xcel Energy and Barclays Capital Inc., BofA Securities, Inc., PNC Capital Markets LLC, and Wells Fargo Securities, LLC, as representatives of the underwriters named therein. The notes are being issued pursuant to the registration statement on Form S-3 (File No. 333-255446). A prospectus supplement relating to the offering and sale of the notes was filed with the Securities and Exchange Commission on August 1, 2023. The notes will be governed by Xcel Energy’s Indenture, dated as of December 1, 2000, as supplemented, between Xcel Energy and Computershare Trust Company, N.A. (as successor to Wells Fargo Bank, National Association), as trustee, and the Supplemental Indenture No. 17, dated as of August 3, 2023.
