Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 3, 2022, Archer-Daniels-Midland Company (the “Company”) filed a Current Report on Form 8-K (the “Initial Form 8-K”) to report, among other things, the election of James C. Collins, Jr. as a member of the Board, effective as of August 3, 2022. At the time the Initial Form 8-K was filed, no determination had been made regarding the election of Mr. Collins to any committees of the Board.
This Amendment No. 1 to the Initial Form 8-K is being filed to report that Mr. Collins was appointed to serve on each of the Compensation and Succession Committee and the Sustainability and Corporate Responsibility Committee of the Board, effective as of October 3, 2022.
