Other Events. On September 19, 2022, The Home Depot, Inc. (the “Company”) completed a public offering of $750,000,000 aggregate principal amount of 4.000% Notes due September 15, 2025 (the “2025 Notes”), $1,250,000,000 aggregate principal amount of 4.500% Notes due September 15, 2032 (the “2032 Notes”), and $1,000,000,000 aggregate principal amount of 4.950% Notes due September 15, 2052 (the “2052 Notes,” and together with the 2025 Notes and the 2032 Notes, the “Notes”). The offering of the Notes was made pursuant to the Company’s shelf registration statement on Form S-3 (Registration No. 333-259121) filed with the Securities and Exchange Commission on August 27, 2021. The Notes were issued under an Indenture dated as of May 4, 2005 (the “Indenture”) between the Company and The Bank of New York Mellon Trust Company, N.A. (formerly known as The Bank of New York Trust Company, N.A.), as Trustee. The foregoing summary is qualified by reference to the Indenture and the respective forms of global note for the offering, which are filed as exhibits to this Current Report on Form 8-K and are incorporated by reference herein and in the above-referenced shelf registration statement.   Item 9.01.
