Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On August 3, 2022, Archer-Daniels-Midland Company (the “Company”) increased the size of the Board of Directors (the “Board”) of the Company from 11 directors to 12 directors and elected James C. Collins, Jr. as an independent director, effective immediately, to fill the vacancy created by the increase in the size of the Board. Mr. Collins will serve until the Company’s next annual meeting of stockholders or until his successor is duly elected and qualified. There are no arrangements or understandings between Mr. Collins and any other persons pursuant to which Mr. Collins was elected as a director of the Company. Mr. Collins has not engaged in any related person transactions (as defined in Item 404(a) of Regulation S-K) with the Company. Mr. Collins’ compensation as a director will be consistent with the compensation policies applicable to the Company’s other non-employee directors.
