On February 24, 2022, Ms. Stephanie A. Lundquist tendered her offer to resign from the Board of Directors (the “ Board ”) of Sysco Corporation (“ Sysco ” or the “ Company ”) in connection with an upcoming change in her principal occupation, as required by the Company’s Corporate Governance Guidelines. As disclosed by Cargill Corporation (“ Cargill ”), a global food corporation based in Minnetonka, Minnesota and a Sysco supplier, in a press release issued on February 28, 2022, Ms. Lundquist will be joining Cargill as its Chief Human Resources Officer beginning on April 4, 2022. The Board, as recommended by the Board’s Corporate Governance and Nominating Committee, accepted Ms. Lundquist’s resignation, effective February 25, 2022. The offer to resign tendered by Ms. Lundquist was not the result of any disagreement with the Company on any matter relating to its operations, policies or practices.
