On December 20, 2021, WW International, Inc. made a voluntary prepayment at par of $50.0 million in respect of its outstanding term loans under its term loan facility consisting of $1.0 billion in aggregate principal amount of senior secured tranche B term loans due in 2028. After giving effect to the prepayment, approximately $947.5 million of term loans remained outstanding under such term loan facility. The information contained in Item 7.01 of this Current Report on Form 8-K is being furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that Section.
