Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. On December 7, 2021, with the consent DuPont de Nemours, Inc., the Board of Directors (the “Board”) of International Flavors & Fragrances Inc. (the “Company”) approved an amendment to Article II, Section 14 of the Company’s By-Laws to eliminate the requirement to reduce the size of the Board from thirteen (13) directors to twelve (12) directors as of the Company’s 2022 annual meeting.
