Item 8.01.
Other Events
On May 23, 2019, Motorola Solutions, Inc. (the Company) closed the public underwritten offering (the Offering) of $650,000,000 in
aggregate principal amount of 4.600% senior notes due 2029 (the Notes) pursuant to the Underwriting Agreement, dated May 9, 2019, by and among the Company and the several underwriters named therein. The Notes were issued pursuant to
an Indenture dated as of August 19, 2014 between the Company and The Bank of New York Mellon Trust Company, N.A., as trustee, as supplemented by an Officers Certificate, dated May 23, 2019 (the Officers
Certificate). The Notes were offered and sold pursuant to a registration statement on Form S-3 (File No. 333-223828) under the Securities Act of 1933, as
amended.
The proceeds from the Offering were used to (A) repurchase (the Repurchase) approximately (i) $90.1 million in principal
amount of the Companys 7.500% Senior Notes due 2025, (ii) $45.0 million in principal amount of the Companys 6.500% Senior Notes due 2025, (iii) $11.5 million in principal amount of the Companys 6.500% Senior Notes due
2028, (iv) $16.3 million in principal amount of the Companys 6.625% Senior Notes due 2037, (v) $249.7 million in principal amount of the Companys 3.500% Senior Notes due 2021 and (vi) $198.2 million in principal amount of
the Companys 3.750% Senior Notes due 2022 and (B) pay the premiums, fees and expenses related to the Repurchase.
