Other Events On May 23, 2019, Motorola Solutions, Inc. (the “Company”) closed the public underwritten offering (the “Offering”) of $650,000,000 in aggregate principal amount of 4.600% senior notes due 2029 (the “Notes”) pursuant to the Underwriting Agreement, dated May 9, 2019, by and among the Company and the several underwriters named therein. The Notes were issued pursuant to an Indenture dated as of August 19, 2014 between the Company and The Bank of New York Mellon Trust Company, N.A., as trustee, as supplemented by an Officers’ Certificate, dated May 23, 2019 (the “Officers’ Certificate”). The Notes were offered and sold pursuant to a registration statement on Form S-3 (File No. 333-223828) under the Securities Act of 1933, as amended. The proceeds from the Offering were used to (A) repurchase (the “Repurchase”) approximately (i) $90.1 million in principal amount of the Company’s 7.500% Senior Notes due 2025, (ii) $45.0 million in principal amount of the Company’s 6.500% Senior Notes due 2025, (iii) $11.5 million in principal amount of the Company’s 6.500% Senior Notes due 2028, (iv) $16.3 million in principal amount of the Company’s 6.625% Senior Notes due 2037, (v) $249.7 million in principal amount of the Company’s 3.500% Senior Notes due 2021 and (vi) $198.2 million in principal amount of the Company’s 3.750% Senior Notes due 2022 and (B) pay the premiums, fees and expenses related to the Repurchase. The Indenture is filed as Exhibit 4.1, the Officers’ Certificate is filed as Exhibit 4.2, and the Specimen Note is filed as Exhibit 4.3 to this Current Report on Form 8-K and each is incorporated herein by reference.
