Item 5.03 Amendment to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On December 10, 2018, Korn/Ferry International (the Company) filed an Amendment to its Restated
Certificate of Incorporation (the Amendment) reflecting its corporate name change to Korn Ferry, effective as of 12:01 am Eastern Standard Time on January 1, 2019. The Board of Directors of the Company also approved an
amendment and restatement of the Companys Bylaws to reflect the corporate name change, which such Bylaws will be effective on January 1, 2019. The foregoing descriptions of the amendments are qualified in their entirety by reference to
the Amendment and Seventh Amended and Restated Bylaws, which are filed herewith as Exhibits 3.1 and 3.2, respectively.
