(d) On January 11, 2018, the Board of Directors (the Board) of The New York Times Company (the Company) elected
Rachel Glaser to the Board and named her to the Boards Audit Committee and Compensation Committee. A copy of the Companys press release, dated January 11, 2018, announcing Ms. Glasers election to the Board is attached as
Exhibit 99.1 to this Form 8-K and is incorporated by reference herein.
