EXPLANATORY NOTE
On June 14, 2017, Apogee Enterprises, Inc. (the Company) filed with the Securities and Exchange Commission a Current Report on Form 8-K (the Initial 8-K) to report, among other things, the completion of the Companys acquisition of all of the
outstanding shares of capital stock of EFCO Corporation (EFCO) on June 12, 2017. EFCO is a manufacturer of aluminum window, curtain wall, storefront and entrance systems for commercial constructions projects, primarily in the U.S.
The Initial 8-K omitted the financial statements of the business acquired and the pro forma condensed
combined financial information, as permitted by Item 9.01(a)(4) and Item 9.01(b)(2) of Form 8-K. This amendment to the Initial 8-K (this
Amendment) is being made solely to file the financial statements and furnish the pro forma financial information required by Item 9.01 of Form 8-K.
This Amendment should be read in conjunction with the Initial 8-K, which provides additional information relating to
the EFCO acquisition. Except as set forth herein, no modifications have been made to the information contained in the Initial 8-K. Additionally, the Company has not updated any information contained therein to
reflect events that have occurred since the date of the Initial 8-K. Accordingly, this Amendment should be read in conjunction with the Initial 8-K.
