Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of
Listing
On May 3, 2017, The Gorman-Rupp Company (the Company) announced that it has applied to list its common shares, without par
value per share (the Common Shares) on the New York Stock Exchange (the NYSE) under its current symbol GRC. Subject to the approval by the NYSE of the Companys listing application, the Company expects that
its Common Shares will begin trading on the NYSE on May 16, 2017. The Companys Board of Directors approved the transfer to the NYSE on April 27, 2017.
Also on May 3, 2017, the Company informed the NYSE MKT that it (i) intends to transfer its listing to the NYSE and (ii) plans to request that
the NYSE MKT cease trading of the Companys Common Shares effective at the close of the market on May 15, 2017.

announcing the anticipated transfer to the NYSE is attached hereto as Exhibit 99 and is incorporated herein by reference.
