Emerging growth company ☐ If an emerging growth company, indicate by check mark if the registrant has elected not to use the extended transition period for complying with any new or revised financial accounting standards provided pursuant to Section 13(a) of the Exchange Act. ☐ Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing On May 3, 2017, The Gorman-Rupp Company (the “Company”) announced that it has applied to list its common shares, without par value per share (the “Common Shares”) on the New York Stock Exchange (the “NYSE”) under its current symbol “GRC”. Subject to the approval by the NYSE of the Company’s listing application, the Company expects that its Common Shares will begin trading on the NYSE on May 16, 2017. The Company’s Board of Directors approved the transfer to the NYSE on April 27, 2017. Also on May 3, 2017, the Company informed the NYSE MKT that it (i) intends to transfer its listing to the NYSE and (ii) plans to request that the NYSE MKT cease trading of the Company’s Common Shares effective at the close of the market on May 15, 2017. A copy of the press release announcing the anticipated transfer to the NYSE is attached hereto as Exhibit 99 and is incorporated herein by reference.
