(“JPM”), entered into a Waiver and Amendment to Revolving Credit Facility (the “Agreement”), which amended the Credit Facility Agreement between the Company and JPM, dated as of June 6, 2013 (the “Credit Agreement”). Under the terms of the Agreement, a “Loan Restructuring Period,” will commence as of the effective date of the Agreement, during which time the parties will restructure and revise the terms of the Credit Agreement, and the Company’s existing defaults under the Credit Agreement will be waived until the earlier of (i) the completion of the restructuring and revision of the terms of the Credit Agreement or (ii) February 15, 2017.
