(b)  On June 27, 2019, Mr. Bertsch notified the Company that he was resigning from the Board of Directors effective on June 30, 2019, the Company’s fiscal year-end.  Mr. Bertsch has confirmed to the Company’s Board that his resignation is not the result of any disagreement on any matter relating to Company’s operations, policies or practices.
