On January 23, 2019, James C. Gorman and W. Wayne Walston each notified The Gorman-Rupp Company (the “Company”) of their intent not to stand for re-election as Directors at the Company’s 2019 Annual Meeting of Shareholders scheduled in April, at which time their respective terms as Directors will expire.  Following the conclusion of his term as a Director, Mr. Gorman plans to continue his involvement with the Company in a non-executive officer capacity.  Neither Mr. Gorman’s nor Mr. Walston’s decision not to stand for re-election was the result of any disagreement with management or the Board.   Item 7.01   REGULATION FD DISCLOSURE. On January 25, 2019, the Company issued a press release announcing the notification by each of James C. Gorman and W. Wayne Walston that they will not stand for re-election at the Company’s 2019 Annual Meeting of Shareholders scheduled in April.  A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
