On February 9, 2018, Andrew J. Policano, a member of the board of
directors of Badger Meter, Inc. (the “Company”) since 1997, advised the
Company that he would retire effective April 27, 2018, the date of the
Company’s next annual meeting of shareholders. Subsequently, the number
of directors on the board will reduce to and remain at eight members.
