(the “Company”) closed its public offering of (i) $500,000,000 aggregate principal amount of 5.400% notes due 2030 (the “2030 Notes”) and (ii) $500,000,000 aggregate principal amount of 6.100% notes due 2035 (the “2035 Notes” and, together with the 2030 Notes, the “Notes”).  The Notes were issued pursuant to the Indenture, dated as of June 17, 2020 (the “Base Indenture”), between the Company and The Bank of New York Mellon Trust Company, N.A. (the “First Trustee”), as amended and supplemented from time to time, including by the third supplemental indenture, dated as of April 14, 2025 (the “Third Supplemental Indenture”), among the Company, U.S. Bank Trust Company, National Association, as successor trustee (the “Trustee”), and the First Trustee (the Base Indenture, as so amended and supplemented, the “Indenture”).  The Notes were registered under the Securities Act, pursuant to the Company’s shelf registration statement on Form S-3 (File No. 333-277493) filed with the Securities and Exchange Commission on February 29, 2024.   The Indenture has been filed as Exhibit 4.1 to the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on June 17, 2020 and is incorporated herein by reference.  The Third Supplemental Indenture has been filed as Exhibit 4.1 to the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on April 16, 2025 and is incorporated herein by reference. A form of each series of the Notes is attached hereto as Exhibits 4.3 and 4.4.  The Company’s officers’ certificate, dated April 25, 2025, authorizing the terms of the Notes pursuant to Section 301 of the Indenture, is attached hereto as Exhibit 4.5.  In connection with the issuance of the Notes, Gibson, Dunn & Crutcher LLP has provided a legal opinion and consent, which are attached hereto as Exhibits 5.1 and 23.1, respectively.
