On January 23, 2023, Pitney Bowes Inc. (the “Company”) issued a press
release in response to a letter from Hestia Capital Management, LLC (“Hestia”) to the Company disclosing Hestia’s intent to nominate seven candidates for election to the Company’s nine-member board of
directors at the Company’s 2023 annual meeting of stockholders.
A copy of the Company’s press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
