Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On January 10, 2022, David G. Bills notified Modine Manufacturing Company (the “Company”) of his decision to resign from the Board of Directors of the Company for
personal reasons, effectively immediately. Mr. Bills’ resignation did not result from any disagreement between himself and the Company, its management or the Board on any matter relating to the Company’s operations, policies or practices.
The Company wishes to express its gratitude to Mr. Bills for his years of dedicated service to the Company and its Board.
