Item 7.01 Regulation FD Disclosure
On October 19, 2025, United States Antimony Corporation (the “Company”
or “USAC”) issued a press release announcing that it has submitted a confidential, non-binding, indicative proposal to
acquire Larvotto Resources Limited, an Australian public company (“Larvotto”). The press release is furnished as exhibit 7.01
and incorporated by reference herein.
The information furnished under this Item 7.01, including Exhibit 99.1,
shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise
subject to the liabilities of that section, nor shall it be deemed incorporated by reference into any filing of the Company under the
Securities Act of 1933, as amended, or the Securities Exchange Act of 1934, except as expressly set forth by specific reference in such
filing. This Item 7.01 of this Current Report on Form 8-K will not be deemed an admission as the materiality
of any information in this Item 7.01 that is required to be disclosed solely by Regulation FD.
Item 8.01 Other Items
On October 17, 2025, the Company submitted a non-binding indicative
offer to acquire Larvotto. Under the proposal, Larvotto shareholders would receive Six (6) USAC shares for every One Hundred (100) Larvotto
shares. The Company has recently acquired approximately 10% of Larvotto’s ordinary shares on issue.
The terms of the proposed transaction are subject to the negotiation and execution of a binding scheme implementation deed, Larvotto shareholder
approval, regulatory approvals and customary closing conditions.
