The Notes were offered and sold pursuant to the registrant’s effective shelf registration statement on Form S-3 (File No. 333-284882) and prospectus supplement, dated August 5, 2025.   The foregoing description of the Notes is qualified in its entirety by reference to the complete terms and conditions of the form of the Notes, which is attached hereto as Exhibit 4.1 and incorporated herein by reference.
