Item 8.01. Other Events
On May 27, 2025, The Travelers Companies, Inc.
(the “Company”) issued a press release announcing that it has entered into a definitive agreement to sell its Canadian personal
insurance business and the majority of its Canadian commercial insurance business to Definity Financial Corporation, for approximately
US$2.4 billion. The Company will retain its surety business in Canada. The transaction is expected to close in the first quarter of 2026,
subject to regulatory approvals and other customary closing conditions.
A copy of the Company’s press release announcing
the transaction is attached hereto as Exhibit 99.1 and is incorporated into this Item 8.01 by reference.
