(the “ Company ”), the board of directors (the “ Board ”) of the Company adopted amended and restated bylaws of the Company (the bylaws, as so amended and restated, the “ Amended and Restated Bylaws ”), effective immediately. Among other things, the Amended and Restated Bylaws: (i) align the Company’s bylaws with developments in Delaware law and current practice, (ii) revise procedural mechanics and disclosure requirements applicable to stockholder nominations of directors, submissions of proposals regarding other business at stockholder meetings, and general director eligibility, and (iii) make certain other ministerial, technical and conforming changes.   The foregoing summary of, and the description of the revisions to, the Amended and Restated Bylaws does not purport to be complete and is qualified in its entirety by reference to the complete text of the Amended and Restated Bylaws, a copy of which is filed hereto as Exhibit 3.1 to this Current Report on Form 8-K, and are incorporated herein by reference.   Item 9.01.
