On April 16, 2024, Mr. Fabian
Garcia notified the Chair of the Board of Directors (the “Board”) of Arrow Electronics, Inc. (the “Company”)
of his decision not to stand for reelection to the Board at the Company’s 2024 Annual Meeting of Shareholders to be held on May 7,
2024 (the “Annual Meeting”). Mr. Garcia will continue to serve as a director and a member of the Board’s Compensation
Committee until the Annual Meeting. Mr. Garcia’s decision not to stand for reelection to the Board did not result from any
disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
