e) On May 24, 2023, the shareholders
of The Travelers Companies, Inc. (the “Company”) approved the Company’s 2023 Stock Incentive Plan (the “2023
Stock Incentive Plan”).
The 2023 Stock Incentive Plan authorizes
the Compensation Committee of the Board of Directors of the Company to grant to employees, non-employee directors, consultants and other
service providers of the Company and its affiliates incentive-based compensation in the form of Company common stock.
The
material terms of the 2023 Stock Incentive Plan are described in the Company’s definitive Proxy Statement, dated April 7,
2023, under the heading “ Item 5 — The Travelers Companies, Inc. 2023 Stock Incentive Plan ”, which description is incorporated herein by
reference. The descriptions of the 2023 Stock Incentive Plan contained herein and in the Company’s definitive Proxy Statement do
not purport to be complete and are qualified in their entirety by reference to the 2023 Stock Incentive Plan, a copy of which is filed
as Exhibit 10.1 hereto and is incorporated by reference herein.
