18, 2021, Phebe N. Novakovic informed the Board of Directors of her decision not to stand for re-election at the end of her current
term expiring at the 2021 annual shareholders meeting in April.

to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On February
19, 2021, Abbott’s Board of Directors amended the first sentence of Article III, Section 2 of Abbott’s by-laws to provide
that Abbott’s Board of Directors shall consist of thirteen persons, effective April 23, 2021. Abbott’s by-laws currently
provide that the Board of Directors consists of fourteen persons.
