On July 30, 2020, Randy Blaustein resigned as a director of
the Company effective as of that date. Mr. Blaustein was a member of the Compensation Committee (Chair) and Nominating Committee
of the Board.
Item 3.01. Notice
of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing
As a result of Mr. Blaustein’s resignation, on August
3, 2020, the Company notified NASDAQ that the Company’s was not in compliance with NASDAQ’S listing requirement as
set forth in Listing Rule 5605 that a majority of the Company’s directors be independent. By letter dated August 4, 2020,
NASDAQ gave the Company until the earlier of the Company’s next annual meeting of shareholders or July 26, 2021; or if the
next annual meeting of shareholders is held before January 26, 2020, then January 26, 2021, to evidence compliance with such listing
requirement.
