(d) Incorporated by reference is a press release issued by Merck
& Co., Inc. (“Merck” or the “Company”) on January 31 ,
2020, attached as Exhibit 99.1, announcing the election of Kathy J. Warden and Christine E. Seidman, M.D. to the Company’s
Board of Directors (the “Board”), effective March 16, 2020. The Board appointed each of Ms. Warden and Dr. Seidman
as a member of both the Audit Committee and the Research Committee of the Board.
For their service on the Board, Ms. Warden and Dr. Seidman will
receive compensation as non-employee directors in accordance with the Company’s non-employee director compensation practices
described under the “Director Compensation” section of the Company’s definitive proxy statement on Schedule 14A
filed with the Securities and Exchange Commission on April 8, 2019.
Neither Ms. Warden nor Dr. Seidman has any arrangements or understandings
with any other person pursuant to which she was elected to the Board, nor does either of them have a relationship or related transaction
with the Company that would require disclosure pursuant to Item 404(a) of Regulation S-K of the Securities and Exchange Commission
in connection with her appointment as a director of the Company.
