On November 10, 2022, the Board of Directors of Skyline Champion Corporation (the “Company”) amended and restated the Company’s bylaws (the “By-Laws”) to align the By-Laws with the Securities and Exchange Commission’s new requirements regarding universal proxies pursuant to Rule 14a-19 (the “Universal Proxy Rules”) promulgated under the Securities Exchange Act of 1934, as amended (the “Exchange Act”). Specifically, Article II, Sections 2.6, 2.13(a),(b) and (c) and 2.14(a) of the By-Laws were amended to specify the method of proxy solicitation by shareholders, to add the requirement that all shareholders or controlling person(s) of a shareholder entity proposing business or nominating a director for election at an annual meeting comply with the Exchange Act and to outline the procedures for director nominations under the Universal Proxy Rules.   This description of the By-Law amendments does not purport to be complete and is qualified in its entirety by reference to the full text of the By-Laws as amended and restated, is filed as Exhibit 3.1 to this Current Report on Form 8-K and incorporated herein by this reference.
