Effective June 9, 2020, Sallie A. DeMarsilis
was promoted from Senior Vice President and Chief Financial Officer to Executive Vice President, Chief Operating Officer and Chief
Financial Officer of Movado Group, Inc. (the “Company”). In connection with her promotion, Ms. DeMarsilis has
been granted options to purchase 100,000 shares of the Company’s common stock, par value $0.01 per share. Such options have
an effective grant date of June 16, 2020 (the “Effective Date”) and cliff-vest on the three-year anniversary of the
Effective Date, subject to continued employment.
The Company’s press release issued June 9, 2020 announcing
Ms. DeMarsilis’s promotion and other organizational changes is attached hereto and incorporated herein by reference
