5.02 Departure
of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers;
Compensatory Arrangements of Certain Officers.
The Board of Directors (the “Board”) of Automatic
Data Processing, Inc. (the “Company”) appointed Nazzic S. Keene as a new director of the Company, effective April 8,
2020.
Ms. Keene is the Chief Executive Officer of Science Applications
International Corporation (“SAIC”). SAIC is a premier technology integrator providing system integration, engineering
and IT solutions to defense, intelligence and civilian agencies.
Ms. Keene will be compensated for her service on the Board
in the same manner as the Company’s other non-employee directors. For a description of the Company’s director compensation
programs, see “Compensation of Non-Employee Directors” in the Company’s Proxy Statement for the 2019 Annual Meeting
of Stockholders held on November 12, 2019, filed with the SEC on September 26, 2019.
