LLC, as Representatives of the several underwriters named therein (the “Underwriting Agreement”), with respect to the issuance and sale of $1,000,000,000 aggregate principal amount of 4.300% Notes due 2030 (the “2030 Notes”) and $1,000,000,000 aggregate principal amount of 4.900% Notes due 2036 (the “2036 Notes” and, together with the 2030 Notes, the “Notes”).   The Notes were registered under the Company’s Registration Statement on Form S-3 (Registration No. 333-276832) (the “Registration Statement”) filed with the Securities and Exchange Commission on February 2, 2024, as supplemented by a preliminary prospectus supplement, filed with the SEC on July 22, 2025, and a final prospectus supplement, filed with the SEC on July 24, 2025.   The above description of the Underwriting Agreement is a summary only and is qualified in its entirety by reference to the Underwriting Agreement, which is attached as Exhibit 1.1 to this Current Report on Form 8-K.
