The By-Law Amendment changes the date of the annual meeting of stockholders for the election of directors and the transaction of any other business properly brought before the meeting from 11:00 a.m. on the last Wednesday of October in each year to 11:00 a.m. on the last Thursday of October. The Company’s Amended and Restated By-Laws, reflecting the By-Law Amendment, is attached as Exhibit 3.1.
