UDR, Inc. : ☐ United Dominion Realty, L.P. : ☐ Item 8.01 Other Events On September 24, 2021, UDR, Inc., a Maryland corporation (the “Company”), issued $200,000,000 aggregate principal amount of the Company’s 3.000% Medium-Term Notes, Series A due 2031 (the “Notes”), which are fully and unconditionally guaranteed by United Dominion Realty, L.P. The Notes were priced at 106.388% of the principal amount, plus accrued interest from August 15, 2021 to yield 2.259%. The Notes were a further issuance of, and are fungible with and are consolidated and form a single series with, the $400 million aggregate principal amount of the Company’s 3.000% Medium-Term Notes due 2031 issued on August 15, 2019. On September 15, 2021, the Company issued a press release announcing the pricing of the Notes.
