The proposed transaction is expected to close in calendar Q2 2021, subject to regulatory review and approval. The purchase price is $3.35 billion, subject to customary adjustments. The Company intends to file the definitive agreement with its next quarterly report on Form 10-Q. Section 7 — REGULATION FD   Item 7.01 Regulation FD Disclosure On February 11, 2021, the Company issued a press release announcing a definitive agreement to acquire the Planters ® snack nut portfolio.
