Of the 35,675,897 shares outstanding on the record date and entitled to vote at the Annual Meeting, 33,927,179 shares were present in person or by proxy, constituting a quorum of 95.1 percent. At the Annual Meeting, the shareholders of the Company considered and voted upon the following three proposals, each of which is described in detail in the Company’s Proxy Statement for the Annual Meeting (the “Proxy Statement”).
