On January 16, 2020, The Gap, Inc. (the "Company") issued a press release, which included a brief discussion relating to financial guidance. A copy of the press release is furnished hereto as Exhibit 99.1. Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On January 16, 2020, the Company announced that Neil Fiske, President and Chief Executive Officer of Gap brand, will leave the Company. A copy of the press release is furnished hereto as Exhibit 99.1. Item 7.01    Regulation FD Disclosure. On January 16, 2020, the Board of Directors determined that the Company will no longer pursue its previously announced plan to separate the Company into two independent, publicly-traded companies.
