Submission of Matters to a Vote of Security Holders. As disclosed in the Company's quarterly report on Form 10-Q filed April 27, 2023, the Company held its annual meeting of stockholders on April 24, 2023. Among the matters submitted to a vote of the stockholders was an advisory vote to approve the frequency of future advisory votes on executive compensation, often referred to as "say on pay." The stockholders approved, on an advisory basis, a frequency of every year for future advisory votes to approve the Company's executive compensation ("say on pay"). There were 127,984,525 votes cast for a frequency of every year; 38,635 votes cast for a frequency of every two years; 6,597,390 votes cast for a frequency of every three years; and 395,912 abstentions. Based on these results, the Board of Directors has determined that the Company will hold say on pay votes every year, until the next required advisory vote on the frequency of say on pay votes.
