Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. In our Current Report on Form 8-K filed on May 28, 2025, we reported that Mitchell Gould, our Executive Vice President, advised us that he intends to retire in early 2026. In July 2025, we and Mr. Gould entered into an agreement providing that: (i) he will retire as of July 31, 2025, (ii) his restricted stock units to acquire 35,197 shares of our common stock upon the satisfaction of performance conditions will be forfeited, and (iii) subject to his compliance with certain provisions of the agreement, his restricted stock awards with respect to 50,810 shares of our common stock will vest over the next five years on the same schedule provided for at the time of the grant of such awards. We anticipate incurring, during the quarter ending September 30, 2025, a non-cash general and administrative expense of approximately $237,000 with respect to his restricted stock awards. We currently do not anticipate seeking a replacement for Mr. Gould but may seek to retain a more junior employee. Item 9.01 Financial Statements and Exhibits.
