(the “Company”) notified Barbara Bolens that she will no longer serve as Executive Vice President and Chief Strategy Officer of the Company effective April 1, 2023. This action was taken in an effort to simplify and flatten the Company’s organizational structure, resulting in the elimination of the EVP, CSO role. As a result of this action, Ms. Bolens will be eligible for severance under the Company’s Senior Officer Severance Plan the terms of which are described in the Company’s proxy statement for its annual meeting of shareholders held February 3, 2023, beginning on page 41, which description is incorporated herein by reference.
